Docs & Templates 📃
We’ve been adding some new docs and templates to the HeyCounsel Template Database submitted by community members, including a Certificate of Destruction, a Form Brokerage Agreement (for an agent brokering insurance on behalf of an agency/insurance company), and a Domain License Agreement templates.
If you have templates to share, please reach out to Katy Barreto on Slack or message the #7-templates-and-docs channel. As independents, solos and fractional counsel, we’re constantly fighting an uphill battle when it comes to shared resources. Help us fight better!

Builds legal infrastructure for high-growth companies; ex-Forward & ex-Sidley; a focus on B2C, B2B, B2B2C, and marketplace models; experienced in Digital Health, SaaS, Data Analytics. Clients include an AI clinical support platform with telehealth, a multinational life event marketplace, and a medical device company with a SaaS platform).
Ted Little (Founder and Principal Attorney at Ted Little, PLLC; transactional tax attorney specializing in efficient tax structures for businesses and investors. “My aim is to help sophisticated solo and small firm corporate attorneys (1) provide their clients with the same elite tax and structuring advice that they were able to provide their clients while at their full-service firms, and (2) to do complex deals without worrying about sneaky tax issues.”)
Anthony Hearn (Seasoned litigator in insurance law covering various lines including commercial general liability and healthcare; extensive experience in consumer protection and bad faith insurance cases; licensed in FL and TN; University of Miami Law graduate; enjoys triathlons and chess in his spare time).
Peter Nedeau (Specializing in startup corporate and venture capital law; experienced across all industries, with a tech focus for Commercial Contracts; has previously worked with Tesla, Block, Eat Just, Clarative AI among others).
Brock Wanless (Founder & Attorney at Law, Wanless LLC; 20 years in-house experience at startups to Fortune 200 companies; focuses on creating efficient legal processes and practical counsel; supports industries like healthcare, defense, ecommerce, technology; an avid doer of Crossfit).
Katie Mohrbacher (Employment lawyer, specializes in designing proactive employment and HR policies for startups and small businesses; adept in navigating both internal and external investigations; Pittsburgh native, avid supporter of all Pittsburgh sports teams, and enjoys exploring the outdoors with her two chocolate labs).
Shayn Fernandez (Founder and Venture Attorney at Junto; specializes in corporate/fund formation, securities, M&A, and fractional GC; focuses on tech startups and emerging fund managers; has built a firm of 3 and is exploring Junto's future direction, including team expansion and client service models).
Ben Spohn (Owner, Spohn Law, PC; provides concierge legal and advisory services for individuals and emerging growth companies; extensive experience in Financial Services, FinTech, and Regulatory Compliance; based in the San Francisco Bay Area with his wife, two kids and his corgi).
Jeff Brom (Founder, Brom Law, PLC; specializes in guiding fintechs through significant legal, risk, and compliance challenges; experience spans GC work to sales and operations; enjoys skiing, DIY projects, and making fresh pasta in Pasadena, CA with his family).
Roman Vayner (Trademark Attorney; expertise in brand name protection through trademark registration and enforcement across various industries including e-commerce, SaaS, and consumer goods; native Russian speaker).
ICYMI: Conversations Happening 🗣️
A few lawyers discussed HIPAA compliance as it relates to a provider’s ability to send text messages and/or text message alerts.
A bunch of members suggested solutions for improved task management and time blocking as a means to get more sh*t done!
Most lawyers agreed that a preference for or against arbitration in a SaaS deal is NOT a hill to die on.
In a more technical corporate discussion, a few folks discussed the proper exercise price for stock options promised a few year prior but not formalized until recently.
