🔥 Community Spotlight
The Great Redline Debate
A member asked, without irony, why so many SaaS and in-house attorneys still trade contract drafts with layers of accumulated tracked changes instead of a clean copy plus a current redline. The question hit a nerve. Twenty-three replies later, the community had covered it thoroughly: whether this is a generational thing, a junior-attorney thing, or just an in-house phenomenon; which legaltech tools actually help manage the chaos; and the case for calling it after three passes rather than redlining forever.
The practical tips were solid. The opinions were not mild. And at least a few members said they're going back to sending cleans.

💬 Threads of the Week
|
UCC Article 9 -- Can You Actually Perfect a Security Interest in a Brokerage Account? →
A commercial lawyer asked whether a client can secure a sales contractor's repayment obligation by pledging a brokerage account as collateral for potential commission clawbacks. The consensus: probably not as cleanly as you'd hope. Article 9 requires either being named as an account holder or a triparty agreement with the broker and contractor -- not just contract language. The smarter move may be withholding a portion of comp up front rather than chasing perfection after the fact. Six replies. Members

RESPA Section 8 and Fintech Referral Structures →
A member working with a fintech client exploring partner structures in the home-purchase space needed practical RESPA Section 8 experience -- specifically referral compensation, MSAs, lead-gen arrangements, and brokerage commission rebates. Several members stepped in quickly, including one with 15 years in the mortgage industry who offered to dig in directly. Good thread to bookmark if you advise fintechs in the real estate or mortgage space. Five replies. Members

Building a US-Specific CCPA Data Processing Addendum →
A member needed a CCPA-compliant DPA to use as an addendum to an independent contractor agreement -- and noted that most "global" DPAs include GDPR machinery that doesn't translate cleanly to a US-only context. Replies walked through what to strip (subprocessor objection rights, EU processing details, demonstrable compliance) and what to add (CCPA sale restrictions, noncompliance notification). The practical takeaway: if you're scaling internationally, adapt a global framework; if US-only, you'll be starting from a GDPR base and trimming down. Five replies. Members
